4.1 Quotations and Pricing

All quotations provided by ExpoEdge are valid for the period specified in the quotation. Prices are subject to change without notice until a formal agreement is signed. All prices are exclusive of applicable taxes, unless otherwise stated.

4.2 Payment Terms

Payment terms will be specified in your service agreement. Generally:

• A deposit may be required upon signing the agreement
• Progress payments may be required at specified milestones
• Final payment is typically due upon completion of services
• Late payments may incur interest charges as specified in the agreement

4.3 Cancellation and Refunds

Cancellation policies will be detailed in your specific service agreement. Generally, deposits are non-refundable, and cancellation fees may apply based on the timing of cancellation and work already completed. Refunds, if applicable, will be processed according to the terms of your agreement.

5.1 Our Intellectual Property

All content, designs, logos, trademarks, and other intellectual property on our website and in our Services are owned by ExpoEdge or our licensors. You may not use, reproduce, or distribute any of our intellectual property without our prior written consent.

5.2 Client Materials

You retain ownership of any materials, content, or intellectual property you provide to us. By providing such materials, you grant us a license to use, modify, and display them as necessary to provide our Services.

5.3 Work Product

Upon full payment, you will receive ownership of the work product created specifically for you, subject to our right to use such work for portfolio and marketing purposes unless otherwise agreed in writing.

6.1 Timelines

We will make reasonable efforts to meet agreed-upon timelines. However, delays may occur due to circumstances beyond our control, including but not limited to weather, venue restrictions, supplier delays, or client-requested changes. We will notify you promptly of any anticipated delays.

6.2 Client Responsibilities

To ensure successful service delivery, you agree to:

• Provide accurate and complete information in a timely manner
• Obtain necessary permits, licenses, and approvals
• Ensure access to venues and facilities as required
• Make decisions and approvals promptly
• Comply with all applicable laws and regulations

6.3 Changes and Modifications

Changes to the scope of work may result in additional charges and timeline adjustments. All change requests must be approved in writing. We reserve the right to charge additional fees for changes requested after work has commenced.

7.1 Limitation of Liability

To the maximum extent permitted by law, ExpoEdge's total liability for any claims arising from or related to our Services shall not exceed the total amount paid by you for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

7.2 Indemnification

You agree to indemnify, defend, and hold harmless ExpoEdge and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of any rights of another.

7.3 Insurance

We maintain appropriate insurance coverage for our operations. Clients may be required to maintain their own insurance coverage for events and exhibitions as specified in the service agreement.
